The work
- Counsel on ATM programs, convertibles, preferreds, and 1933/1934 Act questions.
- Negotiate banking, custody, and insurance agreements.
- Partner with outside counsel on comment letters and disclosure.
- Build a playbook for incoming issuers in the client roster.
- Teach non-lawyers where the bright lines actually are.
What you have already done
- JD and 7+ years at a major firm or in-house at a public issuer, bank, or asset manager.
- Live experience with registered offerings or ATM programs.
- A calm relationship with the word 'materiality'.
- NY, DC, or VA bar.
Fit
- You are engaged enough to care, conservative enough to last.
- You know the difference between a press release and a disclosure.
- You can hold a strategy and a statute in the same sentence.
